By accessing or using the Brilliquid platform ("Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Platform.

2. Eligibility

The Platform is intended for use by persons who meet the applicable investor qualification requirements under U.S. securities laws. By registering, you represent that you are at least 18 years of age and legally eligible to enter into binding agreements.

3. No Offer or Solicitation

Nothing on this Platform constitutes an offer to sell or a solicitation of an offer to buy any security. Offers are made only to qualified investors through the delivery of formal offering documents (Private Placement Memorandum, Subscription Agreement, and related materials) and only in jurisdictions where such offers may be lawfully made.

4. Investment Risks

Securities offered through the Platform are speculative, illiquid, and involve a high degree of risk, including the possible loss of your entire investment. Past performance is not indicative of future results. You should invest only if you can afford to lose your entire investment.

5. Accuracy of Information

You agree to provide accurate, current, and complete information during registration and onboarding, and to update such information as necessary. Providing false or misleading information may result in account termination and may violate applicable laws.

6. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Brilliquid immediately of any unauthorized use of your account.

7. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of Brilliquid LLC or its licensors and is protected by applicable intellectual property laws.

8. Limitation of Liability

To the fullest extent permitted by law, Brilliquid LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or any investment made through it.

9. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.
